Welcome to Vantage Interlink. These Terms of Service (“Terms”) govern your access to and use of the website, services, and applications operated by Vantage Interlink (“Company,” “we,” “us,” or “our”), including the staging environment located at https://vantageinterlink.com/ (collectively, the “Platform”).

Please read these Terms carefully before accessing or using our Platform. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the Platform or use any services.

1. Eligibility and Account Registration

  • B2B Nature: The Platform is a business-to-business (B2B) marketplace. It is intended solely for commercial entities, professional brands, retail buyers, and authorized representatives. It is not intended for consumer use.

  • Account Creation: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

  • Account Security: You are responsible for safeguarding your account credentials. You agree not to disclose your password to any third party and accept sole responsibility for any activities or actions under your account.

2. Staging Environment & Testing Notice

  • Staging Platform Disclaimer: The URL https://vantageinterlink.com/ is a staging, testing, and development environment.

  • As-Is Basis: You acknowledge that the staging environment may contain bugs, errors, and placeholders. Features may be modified, disrupted, or removed at any time without notice.

  • Data Volatility: Data entered into the staging environment is volatile. We do not guarantee that any data, user-uploaded video, product listings, or system configurations will be saved, backed up, or migrated to a production environment. Do not upload sensitive personal data or critical proprietary business information to the staging platform.

3. Platform Use & User Content

  • User Content License: Our platform allows users to upload product information, text, graphics, and video-driven product exploration content (“User Content”). By uploading User Content, you grant Vantage Interlink a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content across the Platform to facilitate marketplace discovery.

  • Prohibited Conduct: You agree not to misuse the Platform. Prohibited behavior includes, but is not limited to:

    • Uploading content that violates third-party intellectual property or privacy rights.

    • Scraping data, pricing, or product information using automated tools without our prior written consent.

    • Transmitting viruses, malware, or malicious code.

    • Interfering with or disrupting the integrity or performance of the Platform.

4. Proprietary Rights & Discovery Intelligence

  • Our Intellectual Property: All right, title, and interest in the Platform—including our intelligent discovery algorithms, software, user interface design, branding, and next-generation intelligence tools—remain the exclusive property of Vantage Interlink and its licensors.

  • Feedback: If you provide feedback or suggestions regarding the staging environment or platform features, we may use that information without obligation or compensation to you.

5. Marketplace Transactions (Disclaimer)

  • Vantage Interlink provides a platform to connect brands and buyers. Unless explicitly stated otherwise in a separate written agreement, Vantage Interlink is not a party to the actual commercial transactions, shipping agreements, or inventory contracts executed between buyers and brands. We do not guarantee the quality, safety, or legality of the products advertised.

6. Disclaimers & Limitation of Liability

  • Disclaimer of Warranties: THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • Limitation of Liability: IN NO EVENT SHALL VANTAGE INTERLINK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR INABILITY TO ACCESS THE STAGING PLATFORM.

7. Termination

We reserve the right, in our sole discretion, to terminate or suspend your account and access to the Platform (including the staging environment) at any time, without prior notice or liability, for any reason, including if you breach these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

9. Changes to Terms

We may update these Terms from time to time. If we make material updates, we will notify you by updating the “Last Updated” date at the top of this page or via an in-platform notification. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
